1. Agreement to Terms

By accessing or using LocalePay's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our service.

These Terms apply to all visitors, users, and customers who access or use LocalePay's payment localization platform for Stripe merchants.

2. Description of Service

LocalePay provides a software-as-a-service (SaaS) platform that:

  • Integrates with your existing Stripe account to enhance checkout experiences
  • Detects customer location and displays locally preferred payment methods
  • Provides analytics and A/B testing tools for payment optimization
  • Offers localized checkout experiences for European markets

LocalePay acts as a software layer on top of Stripe and does not process payments directly. All payment processing is handled by Stripe in accordance with their terms of service.

3. Account Registration

To use LocalePay, you must:

  • Have an active Stripe account in good standing
  • Provide accurate, complete, and current account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be at least 18 years old or have legal authority to enter into this agreement

You are responsible for all activities that occur under your account.

4. Subscription and Billing

4.1 Subscription Plans

LocalePay offers tiered subscription plans based on your Stripe revenue volume. Current pricing is available on our website and may be updated from time to time.

4.2 Free Trial

New customers receive a 30-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

4.3 Billing

Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are exclusive of taxes, which will be added where applicable.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. No refunds are provided for partial months.

5. Acceptable Use

You agree not to use LocalePay to:

  • Violate any applicable laws or regulations
  • Process payments for prohibited goods or services under Stripe's terms
  • Engage in fraudulent or deceptive practices
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any part of the service
  • Reverse engineer, decompile, or disassemble the service
  • Use the service to compete with LocalePay
  • Resell or redistribute the service without authorization

6. Data and Privacy

6.1 Your Data

You retain all rights to your data. By using LocalePay, you grant us a limited license to process your data solely to provide and improve our services.

6.2 Data Processing

LocalePay processes customer location data (IP-based geolocation) to determine appropriate payment methods. We do not store payment card data; all sensitive payment information is handled by Stripe.

6.3 GDPR Compliance

LocalePay is committed to GDPR compliance. We act as a data processor on your behalf. A Data Processing Agreement (DPA) is available upon request for enterprise customers.

6.4 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

LocalePay and its original content, features, and functionality are owned by LocalePay and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the service for your business purposes during your subscription period.

8. Third-Party Services

LocalePay integrates with third-party services, primarily Stripe. Your use of these services is subject to their respective terms:

9. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control.

For enterprise customers, specific uptime commitments may be outlined in a separate Service Level Agreement (SLA).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALEPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO LOCALEPAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

LocalePay is not liable for any payment processing errors, chargebacks, or disputes handled by Stripe.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will increase your conversion rates or revenue. Results may vary based on numerous factors outside our control.

12. Indemnification

You agree to indemnify, defend, and hold harmless LocalePay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your business activities and customer disputes

13. Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Violation of applicable laws
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Termination of your Stripe account

Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the service. Continued use of the service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Zurich, Switzerland.
